In mergers and acquisitions, a determination notice is a document often sent by the acquirer to the target board of directors and/or management specifying a specific set of actions to be carried out. In the example below the notice states what the board cannot do and what it is required to do. That is, not fail to publicly affirm the board recommendation. The notice goes on to specify the time period allowed to comply with the notice. During the course of the takeover, it is possible that more than one determination notice may be issued.
